Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Code Atlantic LLC ("Company," "we," "us," or "our") governing your access to and use of Resurgo (https://resurgo.app), including our web application, Chrome extension, MCP server, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Resurgo is a personal knowledge capture and forced resurfacing system that enables users to:

• Save URLs, browser tabs, notes, and other content
• Schedule content to resurface at specified times
• Receive daily digest emails with due items
• Access content via Chrome new tab override
• Integrate with AI assistants through MCP server
• Organize and search saved content with tags and semantic search

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct we deem harmful to the Service or other users.

4. Subscription Plans and Billing

4.1 Service Tiers

Resurgo offers both free and paid subscription plans with varying features and usage limits. Current subscription tiers, pricing, and feature details are available on our Pricing Page.

4.2 Payment Terms

• Subscriptions are billed monthly in advance and automatically renew unless cancelled
• Payment is processed securely through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all fees incurred
• Prices are subject to change with 30 days' notice to existing subscribers
• All fees are non-refundable except as required by law or explicitly stated in these Terms

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial subscription periods, except where required by applicable law.

5. User Content and Data

5.1 Your Content

You retain all ownership rights to the content you save to Resurgo ("User Content"), including URLs, notes, tags, and other data. By using the Service, you grant us a limited, worldwide, non-exclusive license to store, process, and display your User Content solely to provide and improve the Service.

5.2 Responsibility for Content

You are solely responsible for your User Content and agree not to:

• Upload content that violates any law or third-party rights
• Share content that is defamatory, obscene, or harassing
• Store malicious code, viruses, or harmful software
• Violate intellectual property rights, including copyrights and trademarks
• Use the Service to spam or distribute unsolicited communications

5.3 Data Backup

While we perform regular backups of our systems, you are responsible for maintaining your own backup copies of critical User Content. We are not liable for any loss or corruption of User Content.

5.4 Content Removal

We reserve the right to remove any User Content that violates these Terms, infringes third-party rights, or that we deem harmful to the Service or other users, without prior notice.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Use automated tools (bots, scrapers) to access the Service without written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense access to the Service without authorization
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest personal information of other users without consent

7. Chrome Extension Permissions

Our Chrome extension requires certain permissions to function:

• tabs: To access tab information (URLs, titles) you choose to save
• storage: To store authentication tokens locally
• activeTab: To interact with the current tab when you trigger the extension

We only access browser data when you explicitly use our save/capture features. We do not track your browsing history or monitor tabs you have not chosen to save.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including its design, functionality, source code, logos, and trademarks, is owned by Code Atlantic LLC and protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not include any rights to resell or commercial use of the Service.

8.3 Trademark Policy

"Resurgo" and related logos are trademarks of Code Atlantic LLC. You may not use our trademarks without prior written consent.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Third-Party Services

The Service integrates with third-party services, including:

• Supabase (database and authentication)
• Vercel (hosting and analytics)
• Resend (email delivery)
• Stripe (payment processing)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

11. Disclaimers and Limitation of Liability

11.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODE ATLANTIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.3 Exclusions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Code Atlantic LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any rights of another party

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at support@resurgo.app to attempt to resolve the dispute informally.

13.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Florida, USA. Each party shall bear its own costs in arbitration.

13.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Code Atlantic LLC individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" at the top. For significant changes, we may also send you an email notification.

Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

15. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees (for paid subscriptions)
• Conduct harmful to the Service or other users

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may delete it through your account settings.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Code Atlantic LLC.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or internet service disruptions.
